1. Introduction

These Terms of Service ("Terms" or "Agreement"), together with our Privacy Policy and any applicable Data Processing Addendum ("DPA"), govern your use of Versuno.

Versuno ("we," "us," or "our") is operated by Kostiantyn Sytnyk and Mateusz Kowalski. These Terms apply to your use of our website and services available at versuno.ai, including the API, CLI, and MCP server (collectively, the "Service").

By creating an account, subscribing to a paid plan, or otherwise accessing or using the Service, you agree to be bound by this Agreement. If you do not agree to these Terms, you must not use the Service.

If you use the Service on behalf of a company, team, or other legal entity, you represent and warrant that you have authority to bind that entity to this Agreement.


2. Eligibility and Account

You must be at least 18 years old to use the Service.

You agree to provide accurate and complete account information, including a valid email address, and to keep that information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

One person or legal entity may not maintain more than one free account.


3. The Service and Acceptable Use

Versuno is a context layer for AI agents - a platform for creating, versioning, and serving prompts, personas, contexts, system prompts, and skills to AI workflows via web interface, API, CLI, and MCP server.

We may update or modify the Service at any time. We will provide reasonable notice of changes that materially affect your use of the Service.

You agree not to use the Service to:

(a) Violate any applicable law or regulation, including data protection laws.

(b) Store, transmit, or process content that is illegal, harmful, abusive, or infringes the intellectual property rights of any third party.

(c) Attempt to gain unauthorised access to the Service, its infrastructure, or other users' accounts.

(d) Reverse engineer, decompile, or attempt to extract the source code of the Service.

(e) Use the Service to build a competing product or to benchmark the Service for competitive purposes without our written consent.

(f) Abuse the free tier in ways that impose disproportionate load on our infrastructure, including automated mass-creation of assets.

We reserve the right to suspend or terminate accounts that violate these restrictions.


4. Customer Content and Data Processing

(a) Ownership. You retain ownership of all prompts, personas, contexts, system prompts, skills, and other content you create within the Service ("Customer Content"). We claim no intellectual property rights over your Customer Content.

(b) License to us. You grant us a limited, non-exclusive, worldwide license to host, store, process, and transmit your Customer Content solely to provide the Service to you. This license ends when you delete your content or close your account, except to the extent retention is required by law.

(c) Your responsibility. You are responsible for your Customer Content, including ensuring you have the rights to store it and that it does not violate applicable laws or third-party rights.

(d) No training. We do not use your Customer Content to train AI models, and we do not share it with third parties except as necessary to operate the Service (see our Subprocessors page).

(e) Data processing. Where your use of the Service involves processing personal data of third parties, you are the data controller and we are the data processor. Our Privacy Policy and, on request, a Data Processing Addendum govern this relationship.


5. Payment and Billing

(a) Plans. The Service is offered on a Free plan and paid plans. Paid plans are billed in advance on a monthly or annual basis via Stripe.

(b) Upgrades and downgrades. You can upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the end of the current billing period.

(c) Cancellation. You may cancel your subscription at any time. You will retain access to paid features until the end of the billing period you have paid for. We do not provide prorated refunds for partial periods, except where required by applicable law.

(d) Failed payments. If payment fails, we will notify you by email. If payment is not resolved within 7 days, we may downgrade or suspend your account.

(e) Taxes. Prices are exclusive of applicable taxes (including VAT where applicable). You are responsible for taxes associated with your use of the Service.

(f) Price changes. We may change pricing with at least 30 days' notice. Notice will be sent to the email address on your account.


6. Communications

By creating an account, you agree to receive transactional and service-related communications from us, including account notices, billing messages, security alerts, and product-related updates.

Where required by law, we will request your consent before sending marketing communications. You can opt out of non-essential communications at any time.


7. Our Intellectual Property

The Service, including its design, code, trademarks, and documentation, belongs to us. Nothing in these Terms transfers any intellectual property rights to you, except the limited licence to use the Service as described here.


8. Suspension and Termination

(a) By you. You may stop using the Service and delete your account at any time via the account settings.

(b) By us. We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. We will provide reasonable notice unless the breach is severe or we are legally prevented from doing so.

(c) Effect of termination. Upon termination, your right to access the Service ceases. We will delete your Customer Content within 30 days of account deletion, except where retention is required by law. Sections 4(a), 7, 9, 10, 11, and 12 survive termination.


9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, uninterrupted, or free of harmful components. We are not responsible for the outputs generated by AI models you use through or alongside the Service.


10. Limitation of Liability

(a) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (ii) EUR100.

(c) Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.


11. Indemnification

You agree to indemnify, defend, and hold harmless Versuno, its operators, and contributors from any claims, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Content; or (c) your violation of any third-party rights.


12. Governing Law

These Terms are governed by the laws of Poland, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Poland.

If you are a consumer located in the EU, you may also have rights under the consumer protection laws of your country of residence. Nothing in these Terms limits those statutory rights.


13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date above and notify you by email at least 14 days before material changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you may cancel your account before the changes take effect.
